Counselor to the chief executive officer and participant in policy making. Responsibility for board of directors matters and corporate affairs, including disclosure controls, collaborative relationships, problem solving, negotiations and risk management, including insurance matters.

Practice emphasized representation of corporate directors and officers and other individuals, companies and other organizations in business litigation and troubled transactions, including matters relating to securities laws, insurance coverage, contracts, employment, business torts and civil rights, involving court trials and appeals, and alternative dispute resolution, including negotiations, mediations, arbitrations and counseling.

Experience includes representations in claims of violation of securities laws, wrongful termination of employment, defamation, breach of non-competition agreements, wrongful use of trade secrets, violation of franchise laws and invalidity of wills. It also includes negotiating and drafting license and manufacturing agreements and other contracts relating to biotechnology, consideration of indemnity agreements and the representation and counseling of partners and corporate officers and directors, and service as a private mediator and arbitrator.

During the several years prior to my service with Dendreon Corporation, I mediated approximately one case a month. These mediations were nearly always at the request of the parties and were cases in federal court under CR 39.1, cases in state court, and cases that had not been filed. I have also been asked by parties to serve as arbitrator, sometimes being so designated in a settlement agreement arrived at in mediation. I have served as a King County Mandatory Arbitration program arbitrator.

I have also served as counsel for a party in mediation in state and federal cases and in AAA, NASD, and King County MAR arbitrations.

As General Counsel of Dendreon Corporation, I instituted a program for alternative dispute resolution in enterprise wide contracts relating to biotechnology.
